These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and Spacelinkers Infotech Private Limited, a company incorporated under the Companies Act, 2013, operating the platform LocalDir at www.localdir.in("Company", "we", "us").

By accessing or using LocalDir — whether as a visitor, customer, or registered business owner — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately discontinue use of the platform.

• You must be at least 18 years of age to use LocalDir.
• You must have the legal capacity to enter into a binding contract under applicable Indian law.
• If you are registering a business, you represent that you are authorised to act on behalf of that business entity.
• We reserve the right to refuse service, suspend, or terminate accounts at our sole discretion, without liability, if eligibility criteria are not met or these Terms are violated.

LocalDir is an online directory and lead marketplace that connects customers seeking local services with businesses operating in India. The Company acts solely as an intermediary platform and is not a party to any transaction, agreement, or contract between a customer and a business. We do not endorse, guarantee, or warrant the quality, safety, legality, or performance of any business listed on the platform.

• Business owners are solely responsible for the accuracy, completeness, and legality of all information submitted in their listing, including name, category, contact details, description, images, and pricing.
• By submitting a listing, you grant the Company a non-exclusive, royalty-free, worldwide licence to display, reproduce, and distribute your listing content for the purpose of operating the platform.
• The Company reserves the right to approve, reject, edit, or remove any listing at its sole discretion, including for violations of these Terms, legal requirements, or platform quality standards.
• Listings must not contain false, misleading, defamatory, obscene, or illegal content. Misrepresentation of credentials, certifications, or services is grounds for immediate removal and potential legal action.

• Customers may submit service requests ("leads"). By submitting a lead, you consent to your contact information (phone number) being made available to matched businesses through the contact-reveal feature.
• Businesses may reveal customer contact details subject to their active plan's daily reveal limit. Reveal limits are enforced per business per calendar day (IST).
• Businesses agree to use revealed contact information solely to respond to the specific service request and must not use it for unsolicited marketing, spam, or any purpose unrelated to the lead.
• Misuse of contact information, including harassment, spam, or sale to third parties, is a material breach of these Terms and will result in immediate account termination and may attract legal liability under applicable law including the Information Technology Act, 2000 and the Telecom Commercial Communications Customer Preference Regulations.

You agree not to:

• Submit false, fraudulent, or misleading information on the platform.
• Impersonate any person, business, or entity.
• Use automated bots, scrapers, or scripts to access or extract data from the platform.
• Attempt to gain unauthorised access to any part of the platform or its infrastructure.
• Post content that is defamatory, obscene, hateful, or violates any applicable law.
• Use the platform to facilitate any unlawful activity.
• Interfere with the platform's operation, security, or integrity.

We reserve the right to suspend or permanently terminate any account found to be in breach of this clause, without notice and without liability.

All content on LocalDir — including the LocalDir name, logo, design, software, databases, and written content — is the exclusive property of Spacelinkers Infotech Private Limited and is protected under applicable intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any platform content without our prior written consent.

User-submitted content (business descriptions, images, etc.) remains the property of the submitting user, subject to the licence granted under Clause 4.

LocalDir is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

The Company does not warrant that: (a) the platform will be uninterrupted, error-free, or secure; (b) any business listing is accurate, complete, or current; or (c) any service provided by a listed business will meet your expectations.

To the maximum extent permitted by applicable law, Spacelinkers Infotech Private Limited, its directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform, including but not limited to:

• Loss of profit, revenue, data, or goodwill.
• Disputes between customers and businesses arising from transactions facilitated by the platform.
• Any act or omission of a listed business, including non-performance, fraud, or negligence.
• Unauthorised access to or alteration of your data beyond our reasonable control.

In no event shall our aggregate liability exceed the amount paid by you to us (if any) in the twelve (12) months preceding the event giving rise to the claim, or ₹1,000 (Indian Rupees One Thousand), whichever is lower.

You agree to indemnify, defend, and hold harmless Spacelinkers Infotech Private Limited and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the platform; (b) your violation of these Terms; (c) your listing content or lead submissions; or (d) your violation of any third-party rights or applicable law.

LocalDir uses third-party services for authentication (Firebase), database hosting (Supabase), cloud hosting (Vercel), and other infrastructure. Your use of the platform is also subject to the applicable terms of these third-party providers. We are not responsible for the practices or content of third-party services.

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms — including any question regarding their existence, validity, or termination — shall first be attempted to be resolved through good-faith negotiation.

If the dispute cannot be resolved amicably within 30 days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (as amended), by a sole arbitrator appointed by mutual agreement. The seat of arbitration shall be Noida, Uttar Pradesh, India. The language of arbitration shall be English.

Subject to the above, the courts at Noida / Gautam Buddh Nagar, Uttar Pradesh shall have exclusive jurisdiction over any matter arising out of these Terms.

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Effective date" above and, where appropriate, by notifying registered users. Your continued use of LocalDir after the effective date of updated Terms constitutes your acceptance of the changes.

We may suspend or terminate your access to LocalDir at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the platform ceases immediately. Clauses 7, 8, 9, 10, and 12 survive termination.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
